Terms of service.
Please read these terms on accounts, subscriptions, payment, service levels and liability before using HukukBis. By creating an account or using the service you accept them.
The Turkish version of this text is the binding one. This English version is provided for information only; in case of any discrepancy the Turkish version prevails.

Parties and scope
These terms govern the relationship between HukukBis (“HukukBis”) and the lawyer, law firm or in-house legal department (the “Customer”) that uses the cloud-based law firm management service provided at app.hukukbis.com (the “Service”).
The Service is offered for commercial and professional use. The Customer’s authorised users are also bound by these terms, and the Customer is responsible for the actions of its users.

Account and users
An account is required to use the Service. The information given at registration must be accurate and kept up to date.
The Customer is responsible for keeping account details and passwords confidential and must notify HukukBis without delay if unauthorised use is suspected. A separate account is set up for each user; accounts are not shared.

Subscription and plans
The Service is provided on a subscription basis with the Starter, Professional and Enterprise plans, for monthly or annual periods. Plan scope and the limits on users, cases and storage are shown on the pricing page. HukukBis AI is not part of these plans; it is purchased as a separate package and quoted by monthly request quota.
The Customer can upgrade its plan during a period or downgrade it with effect from the next period. For the Enterprise plan a custom scope and an isolated environment can be offered on request; in that case the offer and the provisions of the written agreement apply ahead of these terms.

Free trial
New accounts may use a 7-day free trial; no credit card is required. No fee is charged during the trial. If a paid plan is not chosen at the end of the trial, access to the account may be restricted.
Data entered during the trial is kept when you move to a paid plan. Otherwise it is deleted or anonymised in the manner and within the periods set out in the Privacy Policy.

Fees and payment
Current fees are shown on the pricing page in Turkish lira, per user per month; a discount applies to annual payment. How taxes are shown is stated on the pricing page and the payment screen.
Subscription fees are collected through the iyzico payment infrastructure. Card details are processed by iyzico and are not stored by HukukBis. If payment is not made, HukukBis may suspend the Service after giving notice.
Fee changes are notified at least 30 days in advance and do not affect the fee for the current period.

Renewal, cancellation and refunds
Unless cancelled, subscriptions renew at the end of each period for the same period. The Customer can cancel at any time from account settings or through the support channels. Cancellation takes effect immediately, and the Customer keeps using the Service until the end of the period it has paid for.
No partial refund is given for the period paid; mandatory cases arising from legislation and provisions of a written agreement are reserved. The mandatory statutory rights of users acting as consumers are reserved.
On cancellation or expiry the Customer can instruct HukukBis to export and delete its data; details are in the Privacy Policy.

Customer obligations
The Customer must:
- use the Service in accordance with the law, professional rules and these terms;
- ensure that the data it enters into the Service has been lawfully obtained and that the notices and permissions needed for its processing have been given or obtained;
- not attempt to undermine the security or integrity of the Service or other customers’ use of it (unauthorised access, reverse engineering, excessive load, uploading malware);
- not use the Service for unlawful purposes, for unfair competition or in violation of the rights of third parties.

Customer data and personal data
Data the Customer enters into the Service belongs to the Customer. For client and case data the Customer is the data controller and HukukBis is the data processor; HukukBis processes this data only to provide the Service and in line with the Customer’s instructions.
Details on the protection of personal data are in the Privacy Policy and the KVKK Privacy Notice. On the Customer’s request, a written agreement setting out the data processing terms required by Law No. 6698 can be signed.

AI output
HukukBis AI is a package the Customer purchases separately and is provided only once enabled. The AI features in the package (such as draft petitions, message replies, legal analysis records and case outcome predictions) are for information and drafting purposes only. Output is not legal advice, a legal opinion or a guarantee of any result, and may contain incorrect, incomplete or outdated information.
The Customer is responsible for reviewing, verifying and using AI output and for decisions taken on the basis of it. Statutory deadline calculations in the Service are also an aid; checking the exact deadline is part of the Customer’s professional responsibility.
When enabled, HukukBis AI runs on a local model on MTY Cloud, entirely inside Turkey; no data is transferred abroad for AI, and Customer data is not used to train models.

Service level (SLA)
HukukBis is operated with a 99.9% uptime SLA; planned maintenance is announced in advance. Planned maintenance that has been announced in advance, faults within the control of the Customer or third parties, and force majeure are excluded from the uptime calculation.
On the Enterprise plan this commitment is given in a written service level agreement; the service level, the measurement method and any remedies are set out in a written service level agreement. The live status of the services is published on the system status page.

Support
Support requests are handled on weekdays from 09:00 to 18:00 (Turkey time) through support tickets, email and phone. Priority support is provided on the Enterprise plan. Requests received outside these hours are handled on the next business day.

Intellectual property
All rights in the software, interface, brand, logo and documentation of the Service belong to HukukBis or its licensors. The Customer is granted a non-transferable, non-exclusive right of use for the duration of the subscription.
Rights in Customer data remain with the Customer; the Customer permits this data to be processed in order to provide the Service. HukukBis may freely use the Customer’s feedback about the Service.

Limitation of liability
The Service is provided “as is”; HukukBis does not guarantee uninterrupted or error-free operation, any particular outcome, or the continuity of public authority systems and third-party providers. The final check of statutory deadlines, hearings and notifications is the Customer’s responsibility.
Without prejudice to wilful misconduct, gross negligence and liabilities that cannot be limited by law, HukukBis’s liability is limited to direct damages and to the subscription fees paid by the Customer in the 12 months before the event giving rise to the claim. No liability is accepted for indirect loss, loss of profit, loss of reputation or loss arising from data entry.

Suspension and termination
In case of breach of these terms, a security risk or payment default, HukukBis may suspend access to the Service or terminate the subscription after appropriate notice. In serious breaches and security threats, no prior notice may be given.
On termination, rights relating to access to Customer data apply under the written agreement and the principles in the Privacy Policy.

Confidentiality
The parties keep each other’s commercial and technical information confidential and use it only to perform the agreement. Access by HukukBis personnel to Customer data is limited to providing the Service, support and security, and is subject to a duty of confidentiality.
Lawful requests from public authorities and notification obligations arising from legislation are exceptions to this duty.

Third-party services and integrations
The Service may work together with third-party services such as payment, email, SMS, WhatsApp, mobile notifications and public authority systems. The continuity and terms of those services are under the control of the relevant providers; interruptions or changes originating from a provider do not give rise to liability on the part of HukukBis.
The Customer must comply with the providers’ own terms in relation to third-party services.

Force majeure
Neither party is liable for delay in or failure to perform its obligations caused by events beyond its reasonable control, such as natural disasters, war, epidemics, power, internet or infrastructure outages, cyber-attacks and decisions of public authorities.

Notices
HukukBis gives notice to the Customer at the email address registered on the account or through an in-Service notification; a notice is deemed received on the date it is sent. The Customer must keep its contact details up to date.

Entire agreement and assignment
These terms form the entire agreement between the Customer and HukukBis; where a written agreement or offer exists, it prevails in case of conflict. If a provision of these terms is held invalid, the validity of the other provisions is not affected.
The Customer may not assign its rights and obligations under this agreement without HukukBis’s written consent.

Changes to the terms
HukukBis may update these terms to reflect changes in legislation or in the Service. Material changes are announced by email or within the Service before they take effect. Continuing to use the Service after a change means you accept the current terms.

Governing law and jurisdiction
These terms are governed by Turkish law. For disputes between the parties, the courts and enforcement offices of Mersin are competent, in accordance with Article 17 of the Code of Civil Procedure No. 6100, which permits jurisdiction agreements between merchants.
For users acting as consumers, the mandatory jurisdiction and recourse rules of the law are reserved.
